Terms of Service

1. Who we are

AgoraChess is operated by AgoraLogix LLC ("AgoraLogix", "we", "us", "our"). By using AgoraChess (the "Service") you ("you", "User") agree to be bound by these Terms of Service ("Terms").

2. Acceptance

By creating an account, accessing, or otherwise using the Service, you confirm that you have read and agree to these Terms. If you do not agree, do not use the Service. You must be of legal age in your jurisdiction to enter into a binding contract.

3. The service

AgoraChess provides interactive chess curriculum, AI-coached play, online matchmaking with chat, game history, and analysis tools. Features may be added, modified, or removed at our discretion.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and keep it up to date.

5. Acceptable use

You must not misuse the Service. Without limitation, you agree not to:

• Use the Service for unlawful, fraudulent, abusive, or deceptive purposes.
• Infringe the intellectual property or other rights of any party.
• Send spam, malware, or otherwise compromise the security or integrity of the Service.
• Probe, scan, scrape, reverse engineer, or test the vulnerability of any system or network.
• Use the Service to cheat in games, harass other users, or disrupt the experience for others.

6. Intellectual property

The Service, including its software, designs, logos, and content (excluding user-generated content), is owned by AgoraLogix LLC or its licensors and is protected by intellectual-property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial purposes.

You retain ownership of content you submit (such as games and chat messages) and grant AgoraLogix LLC a non-exclusive license to host, process, and display it solely to provide the Service.

7. Payments and subscriptions

Premium plans are sold by AgoraLogix LLC on a recurring monthly or annual basis. By subscribing you authorize automatic renewal until you cancel. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period, and you retain access until then. Refunds are governed by our Refund Policy.

8. Payment processing (Stripe)

Payments are processed by Stripe, Inc. on our behalf. Card details are collected and stored by Stripe; AgoraLogix LLC does not see or retain full card numbers. By providing payment information you also agree to Stripe's end-user terms and privacy policy. AgoraLogix LLC remains the seller of record and is responsible for the Service, customer support, and refunds.

9. Service level and warranties

The Service is provided "as is" and "as available". We do not guarantee uninterrupted, error-free, or perfectly secure operation. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

10. Limitation of liability

To the maximum extent permitted by law, AgoraLogix LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim. Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded by law.

11. Suspension and termination

We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay, present a security or fraud risk, or repeatedly violate our policies. Upon termination, your right to use the Service ends; we may delete your data after a reasonable export window.

12. Indemnification

You agree to indemnify and hold harmless AgoraLogix LLC from any claims, damages, or expenses arising out of your content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

13. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service. Continued use after changes take effect constitutes acceptance.

14. AI features

AgoraChess includes AI-powered coaching, hints, and move analysis. You are responsible for how you use AI-generated outputs. AI outputs may be inaccurate, incomplete, or unsuitable for competitive ruling, and should not be treated as authoritative tournament guidance. You must not use the AI features to generate unlawful, harassing, infringing, or otherwise prohibited content, or to attempt to circumvent the model's safety controls.

15. Governing law

These Terms are governed by the laws of the State of Minnesota, USA, without regard to its conflict-of-law principles. The state and federal courts located in Minnesota will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
